Calgary, Canada February 27, 2023 – Crestview Exploration Inc. (CSE: CRS, Frankfurt: CE7) (“Crestview” or “the Company”)intends to undertake a non-brokered private placement financing to raise gross proceeds of up to $500,000 from the sale of up to 5 million units at a price of 10.5 cents per unit. Each unit shall be comprised of one common share of the company and one common share purchase warrant. Each warrant will entitle the holder thereof to acquire one common share from the company at a price of 20 cents per share for a period of 24 months from closing of the offering.
The company intends to use the net proceeds from the offering for pre-drilling preparation and permitting, property payments, working capital requirements, and other general corporate purposes.
The closing of the offering is subject to certain conditions, including the approval of the Canadian Securities Exchange (CSE). All securities issued pursuant to the offering will be subject to a statutory four-month-and-one-day hold period from the closing date.
The company may pay a finder’s fee in respect of those purchasers under the offering introduced to the company by certain persons. Each finder will receive a cash payment up to 8 per cent of the gross proceeds received by the company from purchasers under the offering who were introduced to the company by such finder.
None of the securities offered in connection with the Offering will be registered under the United States Securities Act of 1933, as amended, or the securities laws of any state of the United States.

The property is located in the prolific Walker-Lane trend, approximately 44 kms south of the “world class” Round Mountain deposit.
